Please read these Terms and Conditions (“Terms”) carefully before using our services.

1. Introduction

These Terms govern your access to and use of the services provided by Nulite (“Company,” “we,” “us,” or “our”), including our software applications VidCut AI and Transcription Pro, and any related services we may offer (collectively, the “Service”). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree with any part of the Terms, you should not use our Service.

2. Definitions

• Application: Refers to the software provided by the Company, such as VidCut AI or Transcription Pro, that you download on your electronic device.
• Account: The account created by you to access our Service.
• Device: Any device that can access the Service, such as a computer, smartphone, or tablet.
• Subscription: The payment plan selected by you for accessing certain features or services on a recurring basis.
• You: The individual or legal entity accessing or using our Service.

3. User Obligations

• Eligibility: You must be at least 18 years old to use our Service. By using the Service, you represent that you meet this requirement.
• Account Security: You are responsible for maintaining the confidentiality of your account information, including your password. You agree to notify us immediately of any unauthorized use of your account.
• Compliance: You agree to comply with all applicable laws and regulations while using the Service.

4. Subscriptions and Billing

• Subscription Terms: Certain parts of our Service, including advanced features in VidCut AI and Transcription Pro, may require a paid Subscription. Subscription fees are billed in advance on a recurring basis, depending on the plan selected.
• Automatic Renewal: Your Subscription will automatically renew at the end of each billing period unless you cancel it. You may cancel your Subscription at any time through your Account settings or by contacting us directly.
• Billing Information: You must provide accurate and up-to-date billing information. If automatic billing fails, we may issue an electronic invoice, and payment will be required within a specified time frame.
• Fee Changes: We reserve the right to adjust Subscription fees at any time. You will be notified in advance, and any changes will take effect at the end of the current billing period.
• Refund Policy: Subscription fees are generally non-refundable unless required by law. Refund requests will be considered on a case-by-case basis.

5. Free Trials and Promotions

• Free Trials: We may offer free trials for certain services. If you sign up for a free trial, you may be required to provide billing information. You will not be charged until the trial period ends unless you cancel your Subscription.
• Promotions: Any promotions or offers are subject to additional terms and conditions, which will be provided at the time of the offer.

6. User Conduct

• Prohibited Activities: You agree not to engage in any activities that may harm the Service, including but not limited to distributing viruses, attempting to hack or breach security measures, or engaging in any illegal activities.
• Content Ownership: All content and materials provided by the Company are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from the content without our express permission.

7. Transcription and Video Processing

• Accuracy of Transcriptions: Transcription Pro strives to provide accurate transcriptions, but the accuracy of the output may vary depending on audio quality and other factors. Users are encouraged to review transcriptions for accuracy.
• Video Editing and Processing: VidCut AI offers video editing services with various tools to enhance and process video content. Users are responsible for ensuring that the content processed through VidCut AI complies with all applicable laws and regulations.
• User Content: Any content uploaded for transcription or video processing remains your property. However, by using the Service, you grant Nulite a non-exclusive, worldwide, royalty-free license to use, modify, store, and process the content solely for the purpose of providing and improving the Service. This license extends to the use of content for internal purposes, such as model training and service enhancement, but does not include sharing or distributing the content outside of these purposes.

8. Data Security and Confidentiality

We take the security of your data seriously and implement a variety of industry-standard measures to protect it. We use SSL (Secure Socket Layer) technology to encrypt data during transmission, ensuring that your information is secure while being transferred over the internet. Additionally, we employ secure methods for communication between our servers to safeguard your data. While we make every effort to protect your information, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.

9. Content Retention and Deletion

We retain user-generated content, such as audio files and transcripts, for as long as necessary to provide and improve the Service. Specifically, only MP3 audio files are uploaded to our servers and are deleted after processing. The processed content, such as text transcripts, will be retained both for your ongoing access and for potential internal use, including but not limited to model training and service improvements. You may request the deletion of your transcripts at any time by contacting us. However, please note that certain data may still be retained for internal purposes, legal obligations, or to enhance the quality of our services.

10. Service Availability and Maintenance

We strive to keep our services, including VidCut AI and Transcription Pro, available and operational at all times. However, we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. We reserve the right to modify, suspend, or discontinue the Service, or any part of it, with or without notice, at any time, especially during our beta phase.

11. International Users

Our Service is primarily designed for use within the United States. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws. Please note that your information may be transferred to and processed in the United States, where data protection laws may differ from those in your country. By using the Service, you consent to such transfer and processing.

12. Intellectual Property

• Ownership: The Service and its original content, features, and functionality are owned by Nulite and are protected by intellectual property laws.
• User Feedback: By submitting feedback or suggestions to us, you grant us the right to use, modify, and distribute such feedback without any obligation to compensate you.

13. Third-Party Links

Our Service may contain links to third-party websites or services that are not owned or controlled by Nulite. We are not responsible for the content, privacy policies, or practices of these third-party websites or services. We encourage you to read their terms and conditions and privacy policies before using their services.

14. Termination

We reserve the right to terminate or suspend your access to the Service at any time, without notice, if you violate these Terms or engage in conduct that we believe is harmful to the Service or other users. Upon termination, your right to use the Service will cease immediately.

15. Limitation of Liability

To the fullest extent permitted by law, Nulite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising out of or in connection with the Service.

16. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, either express or implied. Nulite does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of USA/Massachusetts. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in USA/Massachusetts.

18. Dispute Resolution

If you have a dispute with Nulite, you agree to first contact us to attempt to resolve the dispute informally. If the dispute cannot be resolved informally, either party may bring the dispute to binding arbitration governed by Massachusetts state laws. The arbitration will be conducted in Massachusetts, and both parties will share the arbitration costs unless otherwise agreed.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

20. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by email or through the Service before the changes take effect. Your continued use of the Service after the changes become effective will signify your acceptance of the new Terms.
